If you’re reading this, that likely means you’re interested in using the Wired Impact website platform to power your nonprofit’s site. Thanks a lot! We know there are a wide variety of choices out there and appreciate you considering us to help your nonprofit grow.

Below you’ll find our Terms of Service (“Terms”) that cover your use of our platform, templates, designs, content, plugins, support, Marketing Advice program, and other online tools (collectively referred to as the “Wired Impact website platform”). The following Terms have been prepared by Wired Impact, LLC (“Wired Impact”).

By using the Wired Impact website platform, whether as a paying client or for a free trial, you’re agreeing to these Terms as well as the policies outlined in our Privacy Policy, so please read them carefully. If you have questions or concerns, feel free to reach out to us through our contact form.

Signing Up

Providing Accurate Info

We use the contact information you provide us to get in touch with you as necessary. As a result, it’s important that you provide us with accurate information. When your information changes, please let us know so we can ensure we can get in touch with you should we need to do so in the future.

If we’re unable to reach you, it’s possible this will result in us shutting down your website in accordance with the details outlined in these Terms.

Nonprofit Certification

The Wired Impact website platform is intended to be used by nonprofit organizations. If you accept donations in exchange for tax deductions, you must have the documentation to certify you’re legally allowed to do so in your country of operation. If you’re in the process of receiving tax-exempt status, it’s your responsibility to ensure you comply with all relevant laws and communicate your status honestly to your visitors.

We reserve the right to suspend or terminate websites found to be misleading visitors as to their nonprofit tax-exempt status.

Wired Impact is not responsible or liable for any donations, tax penalties or any other damages incurred by you or your end users as a result of fraudulent claims of tax-exempt status.

Ownership

You Own the Content You Create

For the purposes of these Terms, we define “User Content” as text, images, logo files, videos, audio files and downloadable content created by you or created on your behalf that you may legally claim. User Content may include items like your tagline and other brand-specific collateral as well. You may display this User Content through the Wired Impact website platform without forfeiting your ownership of it. Wired Impact will make no claim of ownership upon your User Content.

Your License to Us

When you upload your User Content to the Wired Impact website platform, you grant Wired Impact a non-exclusive, worldwide, perpetual, royalty-free, sublicensable, transferable right and license to use, host, store, reproduce, communicate, publish, publicly display and distribute your User Content. This is necessary for us to display User Content to your visitors as well as improve and promote the Wired Impact website platform.

You Own the Rights to Your Domain Name

Despite the fact we’ll host your website, you’ll maintain ownership to the rights of your domain name. You’re responsible for registering, purchasing and managing your organization’s domain. You own your domain and are free to make changes to its management as you see fit. For organizations that require a domain transfer, Wired Impact may assist in transferring a domain from one provider (also known as a registrar) to a new provider, but will not register or manage the domain on an ongoing basis.

Featuring Your Website

In addition to displaying your website to your visitors, you also grant us the right to feature your website (including the User Content on it), in part or in whole, for the purposes of promoting the Wired Impact website platform. This is typically beneficial to your nonprofit as well since it will mean increased visibility and traffic to your website. We reserve the right to use any version of your website available to us in both digital and printed form. By using the Wired Impact website platform, you waive any claims against Wired Impact as they relate to our featuring of your website, as well as any right to inspect or approve such a feature prior to it being used.

How We Use Your Feedback

We love hearing feedback! It’s an excellent way for us to improve the Wired Impact website platform and ensure it’s tailored to the needs of our users. When you provide us feedback in any form, that feedback becomes the sole property of Wired Impact, and we can use it as we see fit. You waive any and all claims to ownership of, or benefit from, the feedback you provide us.

Your Use of the Wired Impact Website Platform

You Manage Your Website

Even if your website plan includes having our team make changes on your behalf, managing your website is your responsibility. Of course we’re happy to answer questions and provide support, but the day-to-day management, including maintaining content and adjusting pages, will be up to you and your team.

Even if you request members of the Wired Impact team make changes to your site on your behalf, it’s still your responsibility to review these changes and ensure their accuracy. Wired Impact, nor members of the Wired Impact team, will be responsible for issues related to changes made to your website as part of the standard support process.

Only Utilize Materials You Can Legally Use

By using the Wired Impact website platform, you certify that you have the legal right to use every piece of content you upload to your website. This includes complying with the laws governing copyrights, trademarks, patents and intellectual property among other things.

It is your sole responsibility to ensure you have the permission to use every piece of content you upload to your website. We reserve the right to remove any content suspected or found to be in violation of any applicable law without prior notice. If you repeatedly violate these Terms, we reserve the right to take down your website and terminate your account as outlined within these Terms.

We know copyrights and ownership laws can be complicated. To help make sure you’re safe, don’t ever use any content from an unknown origin. If you’re unsure of whether or not you can legally use a  piece of content, we encourage you to speak with an attorney prior to uploading it to your website. We’re not lawyers and are unable to provide you with any legal advice.

Don’t Post Anything Offensive

You agree not to use the Wired Impact website platform to share or distribute anything that is offensive or obscene, including hateful materials or pornography. Wired Impact reserves the right to remove such materials without notice and at our sole discretion.

Follow the Law

In addition, you agree that in using the Wired Impact website platform you are complying with all applicable laws. By using the Wired Impact website platform, you also agree to hold Wired Impact harmless and release any liability that may arise from your lack of compliance, both knowingly and unknowingly, with relevant laws.

Communication Should Be Respectful and Professional

Throughout the process of building your website and providing post-launch support, we’ll communicate in a variety of ways including phone calls and emails. We expect all parties, including representatives of Wired Impact as well as our clients, to communicate respectfully and professionally.

You Assume the Risk Associated with Your Website

Malicious files are all over the Internet. By using the Wired Impact website platform, you assume any and all risk associated with your content as well as any other files you or your visitors may upload to your site. This includes but is not limited to files with malicious software or malware as well as links to malicious sites. You agree to do everything reasonably within your power to ensure you are not putting your users or the Wired Impact website platform at risk.

Your Relationship with Your Users is Your Responsibility

Through your use of the Wired Impact website platform, you’ll inevitably develop relationships with your users. This may include but is not limited to processing donations, collecting volunteer signups, accepting event registrations and gathering contact information such as email addresses.

You assume the responsibility of fulfilling any orders and honoring any commitments you make to your users. Wired Impact will in no way be liable for any agreements you make with your visitors.

The Terms outlined here as well as our Privacy Policy are only between you, as the user of the Wired Impact website platform, and Wired Impact. They in no way govern your relationship with your users. It is your sole responsibility to create and distribute any necessary guidelines to govern your relationship with your users.

Your Responsibility for Maintaining Security

You and your administrators are responsible for maintaining the security of your website. If you become aware of any unauthorized uses of your website or breach in security, you agree to immediately notify us in writing. Wired Impact will not be liable for any losses or damages arising from your lack of compliance with these Terms. You also acknowledge and agree that under no circumstances will Wired Impact be liable for any of your acts or omissions. This applies to those acts or omissions of any third party, including damages of any kind incurred as a result.

Use Secure Passwords

One of the greatest vulnerabilities for any website is insecure passwords on individual user accounts. To minimize your risk, please ensure you and all of your users maintain secure passwords at all times.

Specifics of the Wired Impact Website Platform

Hosting

Your monthly Wired Impact website platform fee includes the price of hosting your website. The system is built in such a way that we must host it. At this time you’re unable to build a site using the Wired Impact website platform and host it elsewhere.

Storage Space

As part of your hosting plan, you get up to 10 gigabytes of storage space. If you exceed this capacity, we’ll discuss options with you potentially including removing large files or paying an additional fee for increased storage.

Monthly Visitors

Your hosting plan includes up to 300,000 monthly visitors. This is an incredible amount of traffic that very few nonprofit websites routinely exceed on a monthly basis. In the event you do receive more than 300,000 monthly visitors, we’ll reach out to you to discuss the best options for you moving forward. One such option may be to pay an additional fee to handle the resources associated with such a large volume of traffic. That said, you’ll never receive an additional charge from us without prior discussion.

Third Party Integrations

Third party integrations allow us to build the Wired Impact website platform to work with other tools you may be using for things like processing donations or sending email newsletters. These integrations are often complex since they require two systems to effectively communicate with one another.

Wired Impact reserves the right to introduce or remove third party integrations at our sole discretion for any reason. For example, we may remove a third party integration if the third party software poses a security risk to our users, or we may switch to a new third party integration if we find a tool that benefits our users more than the third party tool we’re currently utilizing. Wired Impact is not responsible for any losses including but not limited to revenue or data associated with the discontinuation of third party integrations.

Your relationship with third parties is not governed by the Terms outlined here. That relationship is solely between you and the third party provider and falls outside of the responsibility of Wired Impact in any way.

It’s also possible that some third party tools may be unavailable to nonprofits based on their physical location. This is generally tied to the country where you operate or are registered. We’ll do our best to work with you to find a workable solution in your unique situation, but the availability of these tools is generally outside of our control and between you and the third party.

Work We Do Will Likely Be Made Available to Others

At some point it may be necessary for us to do work specifically for your website. By using the Wired Impact website platform, you agree that any work we do for your website may be reused by others at Wired Impact’s sole discretion. This includes but is not limited to elements of programming, design and content creation as well as general know-how. This does not include your User Content.

For example, it’s very likely that if we create a feature for your website, we’ll make that feature widely available to other nonprofits that may be able to benefit from it.

Demo Content is Purely for Demonstration Purposes

We use demo content for a variety of reasons, including to showcase the Wired Impact website platform and as a placeholder on your site when we present it to you. This may include but is not limited to text, photos and videos. This content is intended to be used only for demonstration purposes and to serve as a guide as you build your website. It is your responsibility to replace this demo content prior to launching your website.

Payments and Fees

Card Information

When signing up for a paid plan, you’ll need to provide us with accurate credit or debit card information. It’s also your responsibility to ensure your card information stays accurate.

Payment Schedule

We’ll charge your card initially on the day that you submit your payment information to us. We’ll then charge the card on file on or around the same date each month for as long as you’d like to continue using the Wired Impact website platform. This allows us to offer the Wired Impact website platform to you without disruption.

By submitting your card information, you agree to allow us to charge your card immediately. By continuing to use the Wired Impact website platform, you agree to allow us to charge your card monthly.

One-Time Project Fees

In addition to your monthly payment as part of your paid plan, you will also pay the associated one-time project fee at the outset of your project. Project fees are nonrefundable.

Upgrading Your Plan

You can request to upgrade your plan at any time from within the admin of your website. When you upgrade your plan, you’ll pay the difference between your old and new plan. This difference will be prorated based on the amount of time remaining in the current billing cycle and included on your next payment. You’ll then pay the rate for your new plan in future billing cycles.

Downgrading Your Plan

You can request to downgrade your plan at any time from within the admin of your website. When you downgrade your plan, you’ll receive a credit for the difference between your old and new plan. This credit will be prorated based on the amount of time remaining in the current billing cycle and applied to your next payment. You’ll then pay the rate for your new plan in future billing cycles.

When Payments Stop Processing Successfully

If your payments stop processing successfully, we’ll do our best to contact you. This is one of the reasons it’s important for you to ensure we have updated contact information. If we’re unable to reach you, or if we don’t hear back from you in a timely fashion, we reserve the right to terminate your use of the Wired Impact website platform.

You’ll have until your next payment is due to resolve the outstanding payment. If the outstanding balance hasn’t been paid in full by the time your next payment is due, we’ll move forward with shutting down your website.

Fee Changes

We reserve the right to adjust our fees at any point in the future. We’ll give you notice prior to any changes to our fees. You’re free to reject these fee changes by terminating your use of the Wired Impact website platform.

Cancellation and Termination

Cancellation by the User

You’re free to cancel your use of the Wired Impact website platform at any point for any reason. To cancel, please notify us through the admin of your website. We’ll email you back to confirm receipt of your request and discuss next steps. As part of this process, you’ll complete a cancellation form and indicate your desired cancellation date. Your request for cancellation can’t be processed until you complete this cancellation form.

Once we’ve confirmed your cancellation date, your request for cancellation will take effect at the end of the billing cycle that date falls within. We don’t offer reimbursements for partial months of use or if you decide to cancel your subscription prior to launching your website.

Termination by Wired Impact

Wired Impact reserves the right to terminate your use of the Wired Impact website platform for violation of any of the policies outlined in these Terms. This also includes violation of the updates we make to these Terms in the future. Such termination may be executed with or without notice (depending on the severity of the infraction) and will be handled on a case by case basis. Termination may apply to websites on a free trial and will be carried out based upon Wired Impact’s sole discretion.

End of Your Free Trial

If you have not upgraded to a paid plan by the end of your free trial period, your website and the associated data will be deleted. We will not be able to recover your website or the associated data once this process has been completed.

To avoid deletion, be sure to sign up for a paid plan prior to the end of your trial period.

You Can Take Your User Content and Form Entries

If you choose to leave the Wired Impact website platform, you’re free to take your User Content (as defined above) with you. You can also export form entries into a CSV spreadsheet if you’d like to take them with you.

Our Themes Are Solely for Current Clients

Our website themes are intended for use solely by nonprofits using the Wired Impact website platform to power their site and those actively on a free trial. We don’t sell our themes as standalone entities or build them with this purpose in mind. Use of our themes by anyone other than an active client of the Wired Impact website platform violates these Terms and is subject to a financial penalty to be determined solely by Wired Impact.

We Won’t Store Your Data After Cancellation or Termination

Regardless of whether your account is voluntarily canceled by you or terminated by Wired Impact, we reserve the right to delete your website and the files associated with it including your content on or after the date of cancellation or termination. None of this information will likely be recoverable after it’s deleted, even if you resume payment at a future date.

Privacy

We understand you’re entrusting us with sensitive information and will take the utmost care in protecting it. For more on how we handle your information, please refer to our Privacy Policy.

Changes to Terms

We will periodically change these Terms to reflect adjustments we’ve made to the Wired Impact website platform or the services that we offer. Depending on the nature of these changes, we may or may not notify you. We strongly encourage you to check these Terms regularly to ensure you agree to the Terms outlined herein.

If at any point you no longer agree to the Terms, you’re free to reject them and cancel your use of the Wired Impact website platform. If you have any questions about these Terms, please feel free to reach out through the contact form on our site.

General

Indemnity

By using the Wired Impact website platform, you agree to indemnify, defend and hold Wired Impact harmless from and against any and all claims, demands, actions, damages, losses, assessments, charges, liabilities, costs and expenses including without limitation, interest, penalties and attorney fees which at any time may be asserted against or suffered concerning your use of the Wired Impact website platform. This also includes any advice offered by Wired Impact during the process of building your website as well as through the Marketing Advice program or any other ongoing support.

Governing Law

Any and all disputes arising out of your use of the Wired Impact website platform will be governed by the laws of the State of Missouri. Any claim in connection with these Terms or your use of the Wired Impact website platform must be brought in the federal and state courts located in the State of Missouri or St. Louis county.

Relationship

These Terms, and your use of the Wired Impact website platform including the Marketing Advice program and any ongoing support, do not constitute the creation of any partnership, joint venture, employer-employee, or franchisor-franchisee relationship between Wired Impact and you.

Unenforceability

If any section of these Terms is held unenforceable, the remaining portions will still be valid.

Entirety of Agreement

These Terms represent the entire understanding unless by written agreement of both you and Wired Impact. These Terms shall be binding on the parties and their successors.
